    <p>Affinity Agreement Contract
    <p>This affinity agreement is entered into by and between the International Economic JusticeLeague,Inc. (&ldquo;IEJL&rdquo;) and <b>    </b>(&ldquo;Provider&rdquo;) as of the ___day of ___,
    <p>201__ (the &ldquo;Effective Date.&rdquo;).</p>
    <p>1. Terms of contract.</p>
    <p>The Provider will provide the term stated in the Provider&rsquo;s will free of charge, and the IEJL</p>
    <p>will provide the term stated in the IEJL&rsquo;s will free of charge.</p>
    <p>2. Definition.</p>
    <p>(a) Pledges: Members in the IEJL Pledge Program.</p>
    <p>(b) Platinum Pledges: Pledges who have reached platinum level (highest ranking level) in</p>
    <p>IEJL Pledge Program.</p>
    <p>(c) Gold Pledges: Pledges who have reached gold level (third ranking level) in IEJL Pledge</p>
    <p>Program.</p>
    <p>(d) Sliver Pledges: Pledges who have reached sliver level (second ranking level) in IEJL</p>
    <p>Pledge Program.</p>
    <p>(e) Bronze Pledges: Pledges who have reached bronze level (lowest ranking level) in IEJL</p>
    <p>Pledge Program.</p>
    <p>(f) New Pledges: Pledges who have not yet receive a rank.</p>
    <p>3. Provider will.</p>
    <p>(a) Provide the following service, product, and/or features to Platinum Pledges of IEJL: <b>  </b> (what service, product, and/or features are being provided) at a discount of <b>  </b> to IEJL members from the regularly published and available prices; [further descried discount or enhancement, as needed.]</p>
    <p>(b) Provide the following service, product, and/or features to Gold Pledges of IEJL: <b>  </b> (what service, product, and/or features are being provided) at a discount of <b>  </b> to IEJL members from the regularly published and available prices; [further descried discount or enhancement, as needed.]</p>
    <p>(c) Provide the following service, product, and/or features to Sliver Pledges of IEJL: <b>  </b> (what service, product, and/or features are being provided) at a discount of <b>  </b> to IEJL members from the regularly published and available prices; [further descried discount or enhancement, as needed.]</p>
    <p>(d) Provide the following service, product, and/or features to Bronze Pledges of IEJL: <b>  </b> (what service, product, and/or features are being provided) at a discount of <b>  </b> to IEJL members from the regularly published and available prices; [further descried discount or enhancement, as needed.]</p>
    <p>(e) Provide the following service, product, and/or features to new Pledges of IEJL: ___________________________ (what service, product, and/or features are being provided) at a discount of___ to IEJL members from the regularly published and available prices; [further descried discount or enhancement, as needed.]
    <p>(f) Provide IEJL provider&rsquo;s full-color logo in eps, high resolution jpg or high resolution pdf format for IEJL&rsquo;s marketing purposes.</p>
    <p>(g) Be responsible for all sales and customer service to member participating in the programs.</p>
    <p>(h) Abide by all applicable laws, ordinances and regulations, including, but not limited to,the payment of all applicable taxes in connection with sales under the program.</p>

    <p>(i) Provider must notify the IEJL at least 30 days in advance of any changes to the discount</p>
    <p>that is offered pursuant to this agreement.</p>

    <p>(a) Will notify our community of Pledges of Provider&rsquo;s discount on Pledge Discount page</p>
    <p>on IEJL website.</p>
    <p>(b) Allow Provider to publicize support for IEJL.</p>
    <p>(c) Provide Provider IEJL&rsquo;s full-color logo in eps, high resolution jpg or high resolution</p>
    <p>pdf format for merchant marketing purposes.</p>
    <p>Provider Marks.</p>
    <p>(a) Provider is the owner of those trademarks and logos (the &ldquo;Marks&rdquo;).</p>
    <p>(b) Provider grants the IEJL permission to use the Marks in connection with the program,</p>
    <p>and IEJL accepts such grant subject to the term and conditions of this without the express</p>
    <p>written permission of Provider. IEJL acknowledges the ownership of the Marks in</p>
    <p>Provider, agrees that it will do nothing inconsistent with such be on behalf of Provider.</p>
    <p>IEJL agrees that nothing in this grant shall give IEJL any right title, or interest in the marks</p>
    <p>other than the right to use the Marks in accordance with this agreement, and IEJL agrees</p>
    <p>that it will not attack the title of Provider to the Marks. All rights in the Marks and the good</p>
    <p>will connected therewith shall remain the property of Provider.</p>
    <p>(c) Upon termination of this agreement IEJL agrees to immediately discontinue all use of</p>
    <p>the Marks and any terms confusingly similar thereto, to destroy all printed materials</p>
    <p>bearing the Marks, and remove the Marks from all advertising or other promotional</p>
    <p>materials.</p>
    <p>IEJL Marks.</p>
    <p>(a) IEJL is the owner of those trademarks and logos (the &ldquo;Marks&rdquo;).</p>
    <p>(b) IEJL grants the merchant permission to use the marks in connection with the program,</p>
    <p>and Provider accepts such grant subject to the term and conditions of this without the</p>
    <p>express written permission of IEJL. Provider acknowledges the ownership of the Marks</p>
    <p>in IEJL, agrees that it will do nothing inconsistent with such be on behalf of IEJL.</p>
    <p>Provider agrees that nothing in this grant shall give Provider any right title, or interest</p>
    <p>in the Marks other than the right to use the Marks in accordance with this agreement,</p>

    <p>the Marks and the good will connected therewith shall remain the property of IEJL.</p>
    <p>(c) Providers agrees to maintain a high quality of goods or services sold in connection with</p>
    <p>the Marks.</p>
    <p>(d) Upon termination of this agreement Provider agrees to immediately discontinue all use</p>
    <p>of the Marks and any terms confusingly similar thereto, to destroy all printed materials</p>
    <p>bearing the Marks, and remove the Marks from all advertising or other promotional</p>
    <p>materials.</p>
    <p>Term and Termination.</p>
    <p>(a) The initial term of this agreement will be one year with automatic renewal unless a 30</p>
    <p>day termination notice is issued by either party.</p>
    <p>(b) Notwithstanding the foregoing either party may immediately terminate this agreement,</p>
    <p>and all obligations of the parties hereunder shall cease (except as to liabilities or</p>
    <p><br></p>
    <p>obligations which have accrued or arisen prior to such termination, and obligations to</p>
    <p>insure and indemnify), upon the occurrence of any of the following events.</p>
    <p>i. Fraud, embezzlement or dishonesty.</p>
    <p>ii. Unethical or unprofessional conduct or activities or conduct injurious to</p>
    <p>the terminating party&rsquo;s reputation.</p>
    <p>iii. If either party breaches any term of this agreement which breach is not</p>
    <p>cured within 30 days after written notice from the non-breaching party.</p>
    <p>8. Assignment.</p>
    <p>This agreement is binding upon and shall inure to the benefit of the parties hereto, and their</p>
    <p>respective heirs, personal representatives, successors and permitted assigns, this agreement</p>
    <p>may not be assigned by either party without the other party&rsquo;s written consent which consent</p>
    <p>shall be within that other party&rsquo;s sole discretion.</p>
    <p>9. No Agency Relationship.</p>
    <p>The Provider is an independent contractor. Nothing contained herein shall be construed to</p>
    <p>constitute or create between parties any partnership, employer/employee or agencies</p>
    <p>relationship or joint venture. Neither party shall have any authority to bind the other any</p>
    <p>respect. Provider shall have no authority to act for or on behalf of IEJL, to assume or create</p>
    <p>obligations on behalf of IEJL, or representation on behalf of IEJL.</p>
    <p>10. Warranty Disclaimer.</p>
    <p>NEITHER PARTY MAKES ANY REPRESENTATIONS, WARRANTIES OR</p>
    <p>GUARANTEES OF ANY KIND, EITHER EXPRESS OR IMPLIED (INCLUDING,</p>
    <p>WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY OR</p>
    <p>FITNESS FOR A PARTICULAR PURPOSE), WITH RESPECT TO ANY PRODUCTS</p>
    <p>OR SERVICES PROVIDED BY SUCH PARTY OT OTHERWISE IN CONNECTION</p>
    <p>WITH THIS AGREEMENT.</p>
    <p>11. Notice.</p>
    <p>All notices to the parties shall be in writing and shall be deemed sufficiently given when</p>
    <p>deposited in the United States Postal Service to be sent first-class certified or registered</p>
    <p>with proper postage prepaid or when deposited with a national next-business-day courier</p>

    <p>12. Limitation of Liability.</p>

    <p>IRRESPECTIVE OF ANY FAULT OR NEGLIGENCE, NIETHER PARTY SHALL BE</p>
    <p>LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTAIL, SPECIAL OR</p>
    <p>PUNITITVE DAMAGES ( INCLUDING WITHOUT LIMITATION DAMAGES FOR</p>
    <p>HARM TO BUSINESS, LOST REVENUES, LOST SALES, LOST SAVINGS, LOST</p>
    <p>PROFITS ( ANTICIPATED OR ACTUAL), LOSS OF USE, DOWNTIME, INJURY TO</p>
    <p>PERSONS OR DAMAGE TO PROPERTY AND CLAIMS OR THIRD PARTIES),</p>
    <p>REGARDLESS OF THE FORM OF ACTION, WHETHER OR NOT SUCH PARTY</p>
    <p>HAS BEEN APPRISED OR NOTIFIED THAT ANY SUCH DAMAGES OR LOSSES</p>
    <p>ARE POSSIBLE OR LIKELY AND WHETHER OR NOT ANY PERMITTED REMEDY</p>
    <p>HAS FAILED ITS ESSENTIAL PURPOSE.</p>
    <p>13. Indemnification.</p>
    <p>Provider shall protect, defend, indemnify and hold IEJL and its directors, officers,</p>
    <p>employees, and agents (collectively, the &lsquo;indemnitees&rdquo;) harmless against any and all</p>
    <p>claims, causes of action, demands or proceedings and any and all related costs and expenses</p>
    <p>(including, without limitation, reasonable attorneys&rsquo; fees and costs)( &ldquo;losses&rdquo;) incurred by</p>
    <p>any of the indemnitees resulting from Provider&rsquo;s breach of any of the provisions of this</p>
    <p>agreement, in addition, Provider agrees to indemnify and hold the indemnitees harmless</p>
    <p>from and against any losses arising out of any acts, errors or omissions of Provider in the</p>
    <p>performance or non-performance of its obligations to any Member in connection with the</p>
    <p>program, including, without limitation, any losses involving the marketing, advertising,</p>
    <p>use or sale of any provider&rsquo;s services or products. The indemnities contained herein shall</p>
    <p>survive any termination or expiration of this agreement.</p>
    <p>14. Attorneys&rsquo; Fees.</p>
    <p>In the event that IEJL is compelled to employ attorneys to enforce the provisions of this</p>
    <p>agreement, provider agrees IEJL will be entitled to receive all of its legal costs and</p>
    <p>expenses, including reasonable attorney&rsquo;s fees, incurred thereby from Provider.</p>
    <p>15. Governing Law.</p>
    <p>This agreement will be construed under and in accordance with the laws of the state of</p>
    <p>California.</p>
    <p>IN WITNESS WHEREOF, the parties hereto have caused this agreement to be duly executed</p>
    <p>and delivered as of the Effective Date.</p>
